Terms and Conditions

These Terms of Service (these “Terms”) govern your access to and use of the OrderWell mobile application, website, software, content, features, subscriptions and related services (collectively, the “Services”) provided by Middle Middle, LLC (“OrderWell,” “Company,” “we,” “us,” or “our”).
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT DISCLAIMERS ABOUT NUTRITION, DIETARY AND ALLERGEN INFORMATION, LIMITATIONS OF LIABILITY, AND AN AGREEMENT TO RESOLVE CERTAIN DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT. TO THE EXTENT PERMITTED BY LAW, YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
By downloading, accessing or using the Services, or by purchasing a subscription, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You must be legally capable of entering into a binding agreement to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and consent of a parent or legal guardian. You may not use the Services where doing so would violate applicable law.
2. What OrderWell Does
OrderWell helps you answer one question — “what should I order here, given my goals and constraints?” The Services rank real restaurant menu items and composed orders against the nutrition goal you choose (for example calorie limits, protein minimums, carbohydrate or sodium limits), your dietary preferences, dislikes and allergen exclusions, and show per-order nutrition and provenance information.
Nutrition data comes from restaurant-published sources and third-party nutrition databases including the Nutritionix database; where a restaurant publishes no nutrition data, figures may be estimated from the menu itself using AI models (OpenAI). Estimated figures are always shown as ranges and labelled as estimates — they are not official restaurant nutrition facts. Each order is labelled with a provenance tier indicating how well its data is corroborated, and fields we can neither verify nor estimate are displayed as unknown.
Recommendations are computed on your device. OrderWell may also link out to restaurant ordering pages or third-party delivery services; those services are operated by their respective providers under their own terms.
OrderWell is a technology and wellness service. We are not a medical provider, dietitian, nutritionist, healthcare provider or restaurant, and the Services do not constitute medical, nutritional, dietetic or other professional healthcare advice.
3. Important Health and Nutrition Disclaimer
THE SERVICES ARE PROVIDED FOR GENERAL INFORMATIONAL, EDUCATIONAL AND WELLNESS PURPOSES ONLY. OrderWell does not provide medical advice, diagnosis or treatment. Nothing in the Services should be interpreted as a recommendation concerning the diagnosis, treatment, prevention or management of any disease, disorder or health condition.
Meal recommendations, calorie figures, macronutrient information, dietary information and fitness-related content should not replace advice from a physician, registered dietitian or other qualified healthcare professional. Consult an appropriate professional before making material changes to your diet, particularly if you:
- have a medical condition;
- have food allergies or intolerances;
- are pregnant or nursing;
- have an eating disorder or a history of disordered eating;
- take medications affected by diet;
- have diabetes, cardiovascular disease, kidney disease, metabolic conditions or other health conditions; or
- have other circumstances requiring medically supervised nutrition.
Never disregard professional medical advice or delay seeking it because of information provided through the Services. If you believe you are experiencing a medical emergency, seek immediate medical attention.
4. Nutrition, Menu and Restaurant Information May Be Inaccurate
YOU SHOULD NOT RELY ON ORDERWELL AS THE SOLE SOURCE FOR NUTRITIONAL, INGREDIENT, ALLERGEN OR RESTAURANT INFORMATION. Restaurant menus, recipes, ingredients, serving sizes and preparation methods can change without notice and may vary by restaurant, location, employee, supplier or customisation.
Although we label each order with the provenance of its underlying data, mark estimated figures as estimates and show unverifiable fields as unknown, information displayed through the Services may still be incomplete, outdated or inaccurate. We do not independently prepare, inspect or verify restaurant food. Actual nutritional content may differ materially from what is displayed. You remain responsible for evaluating whether any food or meal is appropriate for you.
5. Food Allergies and Dietary Restrictions
DO NOT RELY SOLELY ON ORDERWELL TO DETERMINE WHETHER A FOOD IS SAFE FOR AN ALLERGY, INTOLERANCE OR OTHER DIETARY RESTRICTION. You may record allergies, dietary restrictions and foods to avoid, and the Services will flag or down-rank orders accordingly — but many restaurant chains publish incomplete or no allergen data, and an absence of a flag does not mean an absence of the allergen. Restaurants may change ingredients or preparation practices without notice, and cross-contact may occur during preparation, cooking, storage or service.
If you have a food allergy, intolerance, coeliac disease or any other condition that may cause an adverse reaction, independently verify ingredients and preparation practices directly with the restaurant before ordering or consuming any food. We are not responsible for allergic reactions, foodborne illness, cross-contamination, inaccurate restaurant information or other consequences arising from food ordered or consumed based on the Services.
6. Artificial Intelligence and Automated Recommendations
Ranking and recommendation features use algorithms and automated systems. Menu-reading, conversational or coaching features, where offered, may use artificial intelligence to read menus, estimate nutrition values or phrase results; nutrition estimates produced this way are labelled as estimates and are never presented as restaurant-published figures. Automated output may contain errors, omissions or unexpected results, and may appear accurate while being incorrect. You are responsible for exercising independent judgment before relying on it.
7. No Guaranteed Results
We do not guarantee any particular health, fitness, weight-loss, weight-gain, muscle-building or nutritional result. Individual outcomes vary based on food preparation, portion sizes, metabolism, activity, medical conditions, adherence and other factors outside our control. Statements concerning potential outcomes are illustrative only.
8. Your Data and On-Device Storage
OrderWell is designed so that the profile information you provide — your goals, favourite chains, dietary preferences, dislikes, allergen exclusions and recent orders — is stored on your device rather than on our servers. If you enable location access, your location is used on-device to find and sort nearby restaurant locations and is not transmitted to us. Because this data lives on your device, deleting the app or using the in-app data-erase control permanently removes it; we cannot recover it for you.
9. Subscriptions, Billing and Cancellation
Certain features require a paid subscription (“OrderWell Plus”). Subscription pricing, billing period, trial terms and other material terms are disclosed before purchase.
- Billing. Purchases are processed by the app store through which you obtained the app (for iOS, Apple’s App Store, via your Apple ID). We do not collect or store your payment card details.
- Auto-renewal. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account is charged for renewal within 24 hours prior to the end of the current period at the then-current price.
- Free trials. Where a free trial is offered, it converts to a paid subscription at the end of the trial period unless cancelled beforehand. Any unused portion of a trial is forfeited upon purchase of a subscription where applicable.
- Managing and cancelling. You can manage or cancel your subscription in your device’s App Store account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are provided except as required by law or by the app store’s policies.
- Price changes. If we change subscription pricing, the app store will notify you in accordance with its policies and you may cancel before the change takes effect.
10. License to Use the Services
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Services for your personal, non-commercial use on devices you own or control. We reserve all rights not expressly granted.
11. Prohibited Uses
You may not: copy, reproduce, distribute, sell, rent, sublicense or commercially exploit the Services; reverse engineer or attempt to extract the source code of the Services except where permitted by law; scrape, harvest or bulk-export our restaurant, menu or nutrition data; use the Services to build a competing product; interfere with or disrupt the Services; or use the Services in any unlawful manner or in violation of any third party’s rights.
12. Intellectual Property
The Services — including software, design, text, graphics, logos, rankings methodology and compilations of restaurant data — are owned by or licensed to Middle Middle, LLC and protected by intellectual-property laws. Restaurant names, logos and menu information remain the property of their respective owners and are used for identification purposes only.
13. Restaurants and Third Parties
OrderWell is an independent service. We are not affiliated with, endorsed by or sponsored by the restaurants listed in the Services except where expressly stated. Restaurant trademarks, names and menu items belong to their respective owners. Links to restaurant ordering pages or delivery services take you to third parties whose terms and privacy practices govern those interactions; we are not responsible for their content, availability, fulfilment or conduct.
14. Privacy
Our collection, use and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
15. Changes to the Services
We may add, remove, modify, suspend or discontinue features of the Services at any time. Restaurant coverage, menu items and nutrition data change over time and are not guaranteed to persist.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, accurate, error-free or secure.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MIDDLE MIDDLE, LLC OR ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES — INCLUDING ANY ADVERSE HEALTH EVENT, ALLERGIC REACTION OR DIETARY OUTCOME — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) FIFTY US DOLLARS ($50).
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Middle Middle, LLC from and against claims, damages, losses and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
19. Dispute Resolution; Binding Individual Arbitration
Any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its consumer arbitration rules, rather than in court, except that either party may seek relief in small-claims court for claims within that court’s jurisdiction and either party may seek injunctive relief for intellectual-property misuse. The arbitrator may not consolidate more than one person’s claims.
20. Class Action and Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR OTHER REPRESENTATIVE PROCEEDING. Claims may be brought only in an individual capacity.
21. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement above. Any non-arbitrable claim will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. This choice of law is subject to any non-waivable consumer-protection rights in your place of residence.
22. Termination
We may suspend or terminate access to the Services at any time for conduct that violates these Terms or is harmful to other users, restaurants or us. You may stop using the Services at any time by deleting the app. Provisions that by their nature should survive termination — including disclaimers, limitations of liability, indemnification and dispute-resolution terms — survive.
23. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means before the changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
24. General Terms
These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Services. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
